1. Acceptance of Terms

By accessing or using NetGUI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

NetGUI is a network automation platform that provides tools for managing Cisco network infrastructure, including IOS upgrades, flash management, WLAN operations, IPAM tools, reporting, and workflow automation. The Service is provided on a subscription basis according to your selected pricing plan.

3. User Accounts and Responsibilities

When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account
  • Use the Service in compliance with applicable laws and regulations

4. Acceptable Use Policy

You agree not to:

  • Use the Service to violate any laws or regulations
  • Access or attempt to access networks or devices without authorization
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to harm, threaten, or harass others
  • Resell or redistribute the Service without authorization

5. Subscription and Payment

Subscription terms:

  • Subscriptions are billed in advance on a monthly or annual basis
  • Fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Device limits are enforced according to your plan tier
  • Exceeding device limits may result in service suspension

6. Service Availability

We strive to maintain 99.9% uptime for Enterprise plans and 99.5% for Professional plans. Scheduled maintenance will be announced in advance. We are not liable for downtime caused by factors beyond our reasonable control.

7. Intellectual Property

NetGUI and all associated content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you any ownership rights to the Service or content.

8. Limitation of Liability

To the maximum extent permitted by law, NetGUI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Warranty Disclaimer

The Service is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. You use the Service at your own risk.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may cancel your subscription at any time through your account settings.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Zurich, Switzerland.
